(hereinafter referred to as {Party B}), on the other hand, {Party A} and {Party B} hereinafter collectively referred to as the Parties. in the place and on the date written below, with the following terms and conditions.


1. WHEREAS,
[Party B} wishes to distribute the products described in Schedule [Number of Schedule]. {Party B} has a wholesale network in [Territory]. The Parties intend to establish/set up a distribution network for the sale/trading/marketing/distribute of [Party A}’s products in Hungary.


2. INITIAL FEE
Upon signing this Agreement, [Party B} shall pay a non-refundable fee of [Sum] HUF for the initial grant of the Distribution Rights.


3. TERRITORY
[Party B} shall not sell or attempt to sell the Products outside the territory specified described in Schedule [Number of Schedule]. [Party B} may describe itself/ identify itself/hold itself out/claim to be as an authorized [Party B} of the Products for the duration /term /period of the Distribution Rights.


4. OBLIGATIONS OF THE DISTRIBUTOR
[Party B} shall represent [Party A} to the best of his abilities, keep adequate stock of replacement products, provide [Party A} with monthly sales reports, report any and all customers complaints and comments, and perform other promotional tasks as may be required by [Party A}. In case of replacement , [Party B} may only use products provided by [Party A}.


5. PRICES
[Party B} shall provide the products at such prices as may be determined specified in Schedule [Number of Schedule] exclusive of the cost of shipping, in addition to any charges for insurance and taxes.


6. TAXES
For greater certainty the price(s) listed in Schedule [Number of Schedule] are also quoted exclusive of any taxes and duties payable in connection with the sale.


7. RETAIL PRICES
[Party A} will provide [Party B} with a list of proposed retail prices However, [Party B} may use its own discretion in set the retail prices of the Products to the extent of [Százalék]% in excess of the suggested retail prices. The prior consent of [Party A} must be obtained to set prices in excess of the suggested retail price.


8. ADVERTISING AND PROMOTIONAL MATERIALS
During the term of the Distribution Rights [Party A} shall provide [Party B}, at [Party A}’s cost and expense, with reasonable adequate quantities for advertising and promotional materials for supporting [Party B} in marketing the Products.


9. NON-COMPETITION
{Party B} shall not sell any products, that, in any manner, compete with the Products of {Party A}, in the territory described in Schedule [Number of Schedule], during the term of the Distribution Rights and for a calendar year immediately following termination of the Distribution Agreement.


10. GOVERNING LAW
Matters not regulated in this agreement shall be governed by the relevant provisions of the Civil Code.


11. SIGNATURES
IN WITNESS WHEREOF, each of the Parties has executed this Contract, both Parties by its duly authorized officer, as of the day and year set forth below.
