(hereinafter referred to as {Party B}), on the other hand, {Party A} and {Party B} hereinafter collectively referred to as the Parties. in the place and on the date written below, with the following terms and conditions.


1. SUBJECT OF THE LEASE
{Party A} hereby shall lease and demise and {Party B} shall lease and hire the Property specified below.


2. THE PROPERTY
The Property is registered at Topographical No. [Topographical number],

comprising [Number of rooms] rooms,
and classified in the land register as [Classification of the property],
in accordance with the land registry.



3. TITLE WARRANTY
The Parties confirm that the Property is exclusively owned by {Party A} as evidenced in the Abstract of Title attached hereto as Appendix [...]. {Party A} hereby represents and warrants no third party has any right to the Property which would hinder or render impossible the performance of the obligations of {Party A) hereunder.


4. RENTAL FEE
The rent shall be [Amount - letters] [Currency], ([Amount - numbers][Currency]) per month, due and payable on or before the 1st day of each month.


5. PAYMENT

5.1 Regular payment
The [Type of fee] shall be [Sum written with numbers] forint [Sum written with letters] per [Frequence of payment].
5.1 Due date of payment
The Parties agree that {Party A} shall pay the [Type of fee] in advance against the invoice of {Party B}. The [Type of fee] is due and payable on or before [due date].
5.1 Taxes exclusive
All amount to be paid hereunder are exclusive of taxes and VAT.
5.1 Adjustment of fees
{Party B} may adjust the fees once every year at a rate equivalent to annual CPI published by the Hungarian Office for Statistics, provided that {Party B} gives written notice of the adjustment of the fees at least [Number of months] months prior to their effective date, and such fees remain in effect for a period of [Number of months] months. The changed fees and prices may not be applied retroactively. The fees may not be increased at a rate higher than the above referenced CPI except if specifically agreed upon by the Parties in writing.

6.1 Late payment
If {Party В} delays making any of its payments, such amounts shall be subject to late charges payable for the delayed amount at the rate . Late payment fees shall be paid from the due date of the payment obligation.


7. DEPOSIT

7.1
{Party B} shall provide a deposit amounting to [Amount of deposit]. {Party A} hereby acknowledges receipt of the deposit. Upon the termination of the Contract, the deposit shall be refunded to {Party B}. {Party A} shall not pay interest on the deposit.

9. DELIVERY OF PROPERTY
{Party A} shall deliver the Property to {Party B} on [Delivery date].


10. USE OF THE PREMISES
{Party B} leases the Premises for his personal use, for the purpose of using it as an office. {Party B} shall be entitled to exclusive right of use, which may not be transferred to any third party. The use of the property may only be changed with the prior written consent of {Party А}. {Party B} shall use the property according to its present function, without disturbing others. {Party B}, acting as a steward, shall ensure the protection of the conditions (apart from the normal wear and tear) of the property. {Party B} shall immediately notify {Party А} if any damage or defect occurs on the Premises. Subject to his business activities, {Party B} shall provide free access to the Premises (or any of its parts) to {Party А} for a limited period of time in order for {Party А} to perform the Operation and Maintenance set out in Point 4 above. {Party А} undertakes to complete the works at the Premises without causing excessive damage to {Party B}. In the event the design works carried out on the Premises or the Common Areas would unreasonably disturb {Party B} business activity for more than 5 (five) business days, {Party А} shall reduce the Rental Fee in line with the area where the hindrance took place. {Party B} shall comply with the house rules in effect from time to time made available to him, as well as the rules and regulations of the relevant authority regarding fire safety precautions, the means of escape at the Premises, a sufficient number of fire detecting, -alarming and extinguishing equipment to be kept at the Premises and maintained promptly and shall ensure the free access of these and the escape routes of the Premises. {Party B} undertakes to comply and cause its employees to comply with the relevant security, fire protection, labour safety and environmental protection regulations. {Party А} hereby consents to the registration of the Premises by {Party B} as branch office in its Articles of Association and to request the registration of such fact into the company registration at the competent Court of Company Registration. {Party А} shall confirm this in a separate document at the request of {Party B}. Such confirmation of {Party А} may not be withdrawn until the termination of the Lease. If the Contract is terminated, {Party B} shall notify the Company Registration Office and shall certify it to {Party А}.


11. RESTRICTIONS OF USE
The Property may only be used for [Purpose of use] purposes. In the event {Party B} wishes to use the Premises for a purpose other than that specified above, it may only do so with the prior written consent of {Party A}.


12. INSPECTION
{Party B} agrees to allow {Party A} to enter the Premises for reasonable purposes including showing to prospective lessees, lessees, and for periodic maintenance inspections.


13. REPAIRS
{Party B} shall immediately notify {Party A} of needed repairs. The costs of repairs shall be paid by [...].


14. ALTERATIONS
No substantial alterations or improvements shall be made by {Party B} without the prior written consent of {Party A}. Such consent shall not be unreasonably withheld. Upon the termination of the lease, {Party B} shall restore the Premises to its previous condition.


15. MAINTENANCE OF THE PROPERTY
{Party A} agrees to keep the common areas clean and sanitary.


16. LIABILITY FOR DAMAGES
The Parties agree that {Party B} is liable for any damage caused by improper use. {Party B} shall not be liable for any damage caused by normal wear and tear.


17. CONSEQUENCES OF TERMINATION
Upon terminating this Agreement, {Party B} shall vacate the premises, return all keys to {Party A}, remove all personal property belonging to {Party B} and leave the premises in the same condition as {Party B} found them.


18. RETURN OF THE PROPERTY
Upon terminating this Contract for any reason, {Party B} shall vacate the Premises, return all keys to {Party A}, remove all personal property belonging to {Party B}, and leave the Premises in the same condition as {Party B} found them.



IN WITNESS WHEREOF, each of the Parties has executed this Contract, both Parties by its duly authorized officer, as of the day and year set forth below.
