Non-solicitation Agreement

This agreement is made on [date], by and between John Doe, residing at [address] and ABC, Inc., a Delaware corporation, doing business at [business address] hereinafter referred to as "Company"
WHEREAS,
John Doe was employed by ABC, Inc. for a period of ten years, and John Doe terminated its employment with ABC, Inc. on April 30, 2009, and
WHEREAS,
the parties hereto are desirous of settling any possible future problems arising out of John Doe’s employment with ABC, Inc
NOW, THEREFORE
in consideration of the promises hereinafter made

the parties agree as follows For a period of three (3) years from the date hereof John Doe shall not directly or indirectly within 100 km from the City of Budapest solicit orders from any of the Company's accounts, a schedule of which is annexed hereto and made a part hereof This covenant shall apply to John Doe as an individual for his own account as a partner or joint venture, as an employee, {Party B}, or salesman for any person, as an officer, director, or shareholder of a corporation, or otherwise. Solicitation or acceptance of orders within the restricted territory for shipment to or delivery in such territory shall constitute a violation of this Agreement In consideration of this covenant not to solicit the Company's business accounts the Company shall pay to John Doe the following sum the sum of 5,000,000 HUF in one lump sum This Agreement shall be governed by the laws of Hungary This Agreement contains the entire understanding and agreement of the parties with respect to the subject matter hereof, and may not be altered or modified without the written consent of both parties previously obtained
